Terms of Service

These Terms govern access to Token Market, a developer and enterprise AI gateway providing model discovery, multi-modal model provider routing (including text, image, and video generation), API access, API token management, workspaces, usage analytics, billing, documentation, and support. Token Market is operated by Prosperous AI Ltd.

Agreement to these Terms

By creating an account, accepting these Terms, or using the service, you agree to these Terms and the Privacy Policy. If you use the service for an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not create an account or use the service. Capitalized terms used in these Terms have the meaning given in this document or in an applicable order, product policy, or documentation.

Token Market Service

Token Market is operated by Prosperous AI Ltd. as a developer and enterprise AI gateway and orchestrator. The service may include model discovery, multi-modal model provider routing (covering LLM, image, video, audio, and embeddings), API access, API token management, workspaces, usage analytics, billing, documentation, and related support. We may add, remove, change, or temporarily suspend access to models, providers, features, limits, and availability without prior notice.

Eligibility and authority

You must meet the minimum age and legal-capacity requirements that apply where you live. You may not use the service if doing so is prohibited by applicable law, sanctions, export controls, or a provider's model terms. If you act for a company or organization, you confirm that you can accept these Terms for it.

Accounts, workspaces, and authorized users

You must provide accurate and current registration information. An organization may create a workspace and authorize members to use it according to the workspace's roles, permissions, quotas, and policies. Workspace administrators are responsible for inviting and removing members and for the activity of authorized users under the workspace.

Keep credentials, API tokens, recovery methods, and security settings confidential. You are responsible for activity under your account unless you promptly report unauthorized access and cooperate with reasonable security measures.

API tokens and technical use

API tokens are credentials, not transferable licenses. You must not publish them in client applications, repositories, logs, tickets, or public demonstrations. You must use the documented endpoints and respect rate limits, quotas, model restrictions, and security controls. We may rotate, revoke, or restrict a token when reasonably necessary to protect the service or comply with provider requirements.

Model, provider terms, and upstream service disruptions

The service aggregates and routes requests to third-party model providers. Each model or provider may have additional terms, usage restrictions, geographic limitations, data practices, and availability commitments. You are responsible for reviewing and complying with the terms that apply to the model you select, and for passing applicable requirements to your authorized users and customers.

WE DO NOT GUARANTEE THAT ANY PARTICULAR MODEL OR PROVIDER WILL REMAIN AVAILABLE, RETURN A PARTICULAR OUTPUT, OR MEET A PARTICULAR LATENCY, QUALITY, RETENTION, OR TRAINING PREFERENCE. Upstream providers may experience downtime, capacity limits, rate limits, API changes, or sudden suspension of services without advance notice. ANY UNAVAILABILITY, DELAY, OR FAILURE CAUSED BY AN UPSTREAM PROVIDER SHALL NOT CONSTITUTE A BREACH OF THESE TERMS BY TOKEN MARKET.

Inputs, outputs, and user content

You are responsible for the prompts, images, audio, video files, data, and other material submitted through the service ("Inputs") and for decisions made using generated responses ("Outputs"). You must have all rights, licenses, permissions, and notices needed to submit Inputs and to permit the service and the selected provider to process them.

You retain the rights you hold in your Inputs. Ownership, copyrightability, and permitted use of Outputs vary by model, provider, and applicable law, and must be determined from the applicable model terms and governing laws. You grant Token Market the limited, non-exclusive rights needed to host, transmit, cache, format, secure, monitor, and otherwise process Inputs and Outputs to provide the service, prevent abuse, resolve incidents, and comply with law.

Acceptable use and prohibited conduct

You may not use, or allow others to use, the service to:

• break the law, infringe rights, violate provider terms, or evade sanctions or geographic restrictions;
• submit malware, unauthorized credentials, sensitive payment data, or another person's personal information without authorization;
• generate non-consensual deepfakes, sexually explicit content, child sexual abuse material (CSAM), political disinformation, or deceptive media;
• circumvent quotas, rate limits, identity checks, safety controls, or model access restrictions;
• probe, overload, scrape, reverse engineer, or disrupt the service or its supporting networks;
• create deceptive identities, resell access without permission, or operate a competing gateway using the service; or
• make high-impact legal, medical, financial, employment, safety, or similar decisions without qualified human review and safeguards.

We may investigate suspected violations and may remove content or restrict access immediately without prior notice. Security testing, red teaming, or adversarial testing requires prior written authorization.

Fees, pre-paid Tokens, non-refundability, and SVF status

Fees are calculated from requests initiated through the service and the resulting usage, based on the applicable pricing terms presented in the product.

• Legal Nature of Tokens/Credits: "Tokens" or "Credits" purchased on Token Market represent pre-paid usage rights exclusively for consuming API gateway services within the platform. TOKENS DO NOT CONSTITUTE FIAT CURRENCY, FINANCIAL DEPOSITS, ELECTRONIC MONEY, OR STORED VALUE FACILITIES (SVF) UNDER CAP. 584 PAYMENT SYSTEMS AND STORED VALUE FACILITIES ORDINANCE OF HONG KONG. Tokens have no cash value and cannot be redeemed for fiat currency or transferred to third parties.
• All Sales are Final and Non-Refundable: All purchases of Tokens are final. WE DO NOT PROVIDE FIAT CASH REFUNDS, RETURNS, OR WITHDRAWALS UNDER ANY CIRCUMSTANCES, including account closure, user voluntary termination, or upstream provider outages, except where mandatory applicable law strictly requires otherwise.
• Token Expiration: Tokens must be used within twelve (12) months from the date of purchase. Unused Tokens after twelve (12) months shall automatically expire and be forfeited without refund or extension.
• Processing and Usage Outcome: After a request is submitted, stopping the wait, canceling an action, closing the page, or ending subsequent processing does not withdraw the request. Any portion accepted or processed by Token Market or an upstream provider remains chargeable based on recorded usage.
• Taxes: You are responsible for all taxes applicable to your use, except taxes based on Token Market’s net income.

Suspension, termination, and service changes

You may stop using the service at any time. We may suspend, restrict, or terminate access immediately when needed to protect users or providers, enforce these Terms, investigate abuse, collect overdue amounts, or comply with law. We may also discontinue or materially change any feature or model at any time. Unused pre-paid Tokens upon termination are non-refundable. Provisions that by their nature should survive termination will continue.

Ownership, feedback, and confidentiality

Token Market and its software, interfaces, documentation, data compilations, workflows, and branding are owned by us or our licensors. Except for the limited right to use the service under these Terms, no rights are granted. If you provide feedback, you allow us to use it without restriction or compensation.

Each party shall protect the other's non-public information using reasonable care and use it only for the service relationship.

Disclaimers and AI output

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT UNINTERRUPTED OPERATION, ERROR-FREE RESULTS, MODEL AVAILABILITY, ACCURACY OF OUTPUTS, OR THAT UPSTREAM PROVIDERS WILL PROCESS ASYNCHRONOUS GENERATION REQUESTS (SUCH AS IMAGE OR VIDEO GENERATION) WITHOUT DELAY OR FAILURE. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING OUTPUTS AND APPLYING HUMAN REVIEW.

Indemnity, limitation of liability, and sole remedy

A. Indemnity

You will defend and indemnify Token Market, its affiliates, and their directors, officers, employees, and contractors against third-party claims, losses, liabilities, damages, costs, and legal fees arising from your Inputs, your use of Outputs, your violation of these Terms or applicable law, or acts of your authorized users.

B. Sole and Exclusive Remedy for Upstream Failures

IF AN UPSTREAM MODEL PROVIDER FAILS, TIMES OUT, RETURNS AN ERROR, OR EXPERIENCES DOWNTIME DURING A REQUEST, TOKEN MARKET’S SOLE AND EXCLUSIVE OBLIGATION, AND YOUR SOLE AND EXCLUSIVE REMEDY, SHALL BE THE AUTOMATIC OR VERIFIED RE-CREDITING OF THE TOKENS CONSUMED FOR THAT SPECIFIC FAILED REQUEST BACK TO YOUR TOKEN MARKET ACCOUNT. UNDER NO CIRCUMSTANCES SHALL YOU BE ENTITLED TO FIAT CASH REFUNDS OR CONSEQUENTIAL DAMAGES.

C. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOKEN MARKET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

TOKEN MARKET’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO TOKEN MARKET IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR THE VALUE OF UNUSED REMAINING TOKENS IN YOUR ACCOUNT, WHICHEVER IS LOWER.

Governing law, dispute resolution, language, and changes

• Governing Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), without regard to its conflict of law principles.
• Arbitration: Any dispute, controversy, difference, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English.
• Language Precedence: These Terms may be translated into multiple languages for convenience. In the event of any inconsistency or conflict between the English version and any translated version, the English version shall prevail.
• Changes to Terms: We may update these Terms by publishing a revised version with a new effective date. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
